1. Grant and Use: Licensor grants to Licensee a non-exclusive royalty-free license to display the Licensed Marks or any subsequent modifications of the Licensed Marks provided by Licensor to Licensee. Licensed Marks are to be used in all advertising or legal documents only in conjunction with the name of the Broker – Zensurance Brokers Inc. (hereinafter “Zensurance”). Any and all uses, including publishing, advertising, marketing, and reproduction or distribution of the Licensed Marks must be pre-approved in writing by Licensor, and are restricted to single use only. Also upon written approval, Licensee may use or post Licensed Marks on Licensee’s website and may use the Licensed Marks to link to Licensor’s Web Site at www.Zensurance.com. Licensor may modify proposed use to satisfy legal, marketing and regulatory requirements. All requests for approvals shall be submitted, with copies of the proposed use, to Licensor at [email protected]
2. Quality Control: Licensee shall display the Licensed Marks in the form and colours provided by Licensor and Licensee shall not make any changes to the Licensed Marks without the prior written authorization of Licensor. Licensee shall not reroute or redirect any link created pursuant to this agreement to any other website without the prior written consent of the Licensor.
3. Rights Acknowledgement: Licensee acknowledges that Licensor exclusively owns the Licensed Marks and that all uses of the Licensed Marks by Licensee shall inure to the benefit of Licensor. Licensee agrees that it shall not use any of the Licensed marks except as is authorized by Licensor. Licensee agrees that it will not challenge Licensor’s rights in the Licensed marks. 4. Termination: This agreement will terminate upon written notice by Licensor, 3 years from the conclusion of the event being produced for the Licensor by the Licensee. Upon the termination of this agreement, Licensee shall immediately cease all use of the Licensed Marks. The onus is on the Licensee to remove the Zensurance logo and Licensed Marks from their website.
5. Contacts: Each party agrees to notify the other party in the event of any change to the contact or website information provided herein.
6. Product/Services Statements: This agreement does not contemplate any statements by Licensee regarding the products or services offered by Licensor and any such statements shall be submitted to and approved in advance by Licensor.
7. Miscellaneous: This agreement cannot be modified except in writing signed by both parties. Licensee may not assign, sublicense or otherwise transfer any of its rights, duties or obligations under this agreement, or this agreement, without the prior written consent of the Licensor. This agreement shall be governed by the laws of the province of Ontario.
8. The parties to this agreement have requested that this agreement be drafted in the English language / Les parties aux présentes ont requis que la présente entente soit rédigée dans la langue anglaise.
