Key Takeaways

✔ Personal Asset Exposure: Incorporation does not shield leadership from personal liability; directors can be sued personally and held financially liable for up to six months of unpaid employee wages during an insolvency.

✔ Universal Corporate Risk: Essential for private firms, scale-ups, and non-profits alike—investors routinely mandate D&O coverage as a non-negotiable condition of funding.

✔ The Three-Part Shield: Standard policies utilize Side A (personal defense when the firm cannot indemnify), Side B (corporate reimbursement), and Side C (entity protection for balance-sheet exposure).

✔ The EPL Endorsement Check: Wrongful dismissal and harassment claims are only covered if Employment Practices Liability (EPL) is explicitly added to the management liability bundle.

✔ Instant Online Protection: Shield your leadership team and secure tailored management liability coverage online in under 3 minutes.

What does directors and officers insurance, or D&O, cover? It pays for legal defence costs, settlements and judgments when your directors or officers are sued personally over decisions they made running the company. And that risk is growing. Business insolvencies in Canada rose 11.7% in 2025 over 2024. When a company struggles, shareholders, employees, creditors and regulators look to leadership. That means your board.

Who needs D&O insurance?

Any incorporated organization with a board, a leadership team or owners making decisions on its behalf. In practice, that’s:

  • Private companies and family businesses, especially those with outside shareholders, lenders or a formal board
  • Startups and scale-ups that have taken outside investment. Investors routinely make D&O coverage a condition of funding, and founders usually sit on the board they’re insuring
  • Nonprofits, charities and associations, including all-volunteer boards
  • Any small business whose owner is also its director and officer, which in a company of two or three people is usually the same person wearing all three hats

If your business is incorporated, you’re a director. That’s the exposure.

Directors can be held personally liable, and their personal assets can be on the line. In many provinces, directors can even be on the hook for up to six months of unpaid employee wages if the company becomes insolvent.

So what does D&O actually cover? Claims like breach of fiduciary duty. Negligent mismanagement. Misleading statements or inaccurate financial reporting. Regulatory investigations. And employment claims like wrongful dismissal, but only if your policy includes employment practices liability, or EPL. Never assume it does.

Here’s what that can look like.

A manager is let go during a restructuring and files a wrongful dismissal claim naming the company and its directors. With EPL, the policy can help cover the legal defence.

An investor says your startup’s financial projections were misleading and sues the board. D&O can help pay for the defence and a settlement.

At a public company, shareholders sue the board after the stock price drops. D&O may help cover defence costs and settlements.

Most D&O policies come in three parts.

Side A protects directors and officers personally when the company can’t or won’t cover them, like in a bankruptcy.

Side B reimburses the company when it pays to defend its directors.

Side C covers the company itself. For public companies, Side C is usually limited to securities claims.  Public companies commonly purchase ABC policies; whereas, non-profit and private companies are more likely to buy an AB policy.

What doesn’t D&O cover? Bodily injury and property damage – that’s commercial general liability.

It also doesn’t cover breach of contract claims, prior or known claims, fines and penalties, and fraud. But fraud is only excluded after a final ruling, so your defence can often be covered while the case plays out.

How much does D&O insurance cost in Canada? It depends on your company’s size, revenue, financial health, number of employees, claims history, governance practices and the limits you choose. The fastest way to get your number? A free quote from Zensurance, in about three minutes.

Before you buy, check three things.

One: is EPL included, and what’s its limit?

Two: will the insurer pay legal costs as they come in, not after the case ends?

Three: do legal costs come out of your coverage limit? On many D&O policies, they do, so choose a limit with room to spare.

Is D&O insurance mandatory in Canada? No. But investors often make it a condition of funding, and experienced directors may not join a board without it.

Your directors make the big calls. D&O insurance helps make sure one bad outcome doesn’t cost them everything.
